These Terms and Conditions ("Terms") govern your use of Disciply, a software-as-a-service (SaaS) platform provided by Spearhead Consulting LLC ("we", "us", "our"). By using our mobile or web application (the "Platform"), you agree to be bound by these Terms.

1. User Accounts and Access

You must register to create an account, either as an organization administrator or as a member.

Access to specific features depends on your role (admin, facilitator, or member).

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You agree not to share access credentials or impersonate another user.

Spearhead Consulting LLC is not responsible for unauthorized access caused by user negligence or failure to safeguard credentials.

2. No Warranty, No Refunds

Disciply is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied.

We make no guarantees regarding the availability, reliability, or performance of the Platform.

Spearhead Consulting LLC disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

Users acknowledge that minor service interruptions or feature limitations may occur.

All payments for subscriptions are final. We do not offer refunds, credits, or prorated charges under any circumstances, including account termination or inactivity.

3. User-Generated Content

Organizations, administrators, and facilitators are solely responsible for all content and interactions within their groups.

Spearhead Consulting LLC does not pre-screen, endorse, or monitor user-generated content and disclaims any liability related to it.

Users are prohibited from posting content that is offensive, defamatory, harmful, illegal, or infringes on intellectual property rights.

Any content violating these terms may be removed at our sole discretion.

We are not liable for any disputes, damages, or harm resulting from user-generated content or user interactions.

4. AI Usage Disclaimer

We use AI technologies to assist in content moderation, detect behavioral patterns, generate course and devotional material, and provide activity insights.

AI is not a substitute for human judgment and may generate incomplete, inaccurate, or biased content.

By using the Platform, you accept the risks associated with AI moderation and content generation.

You agree that Spearhead Consulting LLC is not liable for any outcomes resulting from AI-generated recommendations, messages, or insights.

5. Communication Features

Members may exchange private or group messages, view public profiles (including name, photo, and other user-provided data), and post comments.

All communication must comply with our community standards and applicable laws.

Misuse of communication features (e.g., harassment, spamming, impersonation) may result in account suspension or removal.

Spearhead Consulting LLC is not liable for any harm resulting from user communications.

6. Termination

We reserve the right to suspend, limit, or terminate any account that violates these Terms or engages in conduct we deem harmful, illegal, or abusive.

Termination may occur with or without prior notice.

Upon termination, your right to use the Platform will immediately cease and you will forfeit any remaining subscription period.

We are not responsible for the loss of data or access following termination.

7. Limitation of Liability

To the fullest extent permitted by law, Spearhead Consulting LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

This includes but is not limited to damages for loss of profits, goodwill, data, service interruptions, or other intangible losses.

You agree to indemnify and hold harmless Spearhead Consulting LLC and its affiliates from any claims or liabilities arising from your use of the Platform or your violation of these Terms.

8. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Idaho, without regard to its conflict of law principles.

Any disputes shall be resolved exclusively in the state or federal courts located in Ada County, Idaho.

Users waive any objections to such jurisdiction and venue.
